FS Energy SpA adopts the FS Group’s Code of Ethics, which represents the common basis of the fundamental values and standards of conduct for the Ferrovie dello Stato Italiane Group and the compass that must direct the conduct of all parties within the Group (corporate bodies, management, employees) and all those who – directly or indirectly, permanently or temporarily – establish rapports and relations with the Group Companies.
Integrity and honesty are fundamental values enshrined in the FS Group’s Code of Ethics, manifesting the commitment to act with complete respect for legality and transparency and in repudiating and disincentivising all forms of corruption, abuse or mismanagement at any level, both in Italy and abroad.
FS Energy SpA adopts The Anti-Corruption Framework of Ferrovie dello Stato Italiane SpA, which defines the architecture of the FS Group's anti-corruption management system and constitutes an element of the company's Internal Control and Risk Management System. Through the Framework, the Group intends to ensure the prevention of corruption (anti-corruption) in a systematic and uniform way, supporting its commitment to sustainable development and contributing to the creation of value, also by disseminating and strengthening a culture of integrity, lawfulness and fairness in its actions, within the Group.
The FS Group’s Anti-Corruption Policy enshrines the principle of zero tolerance towards corruption, on which the FS Italiane and FS Energy SpA base their business, in the belief that acting in accordance with legality and integrity, in addition to being a legal obligation and a moral duty, reflects on the achievement of the objectives and the reputation of individual companies and of the Group and represents an essential foundation on which to guarantee their reliability and credibility in the pursuit of sustainable success.
FS Energy SpA recognises and promotes fair and healthy competition between competitors, undertaking to comply with the antitrust legislation in force in each of the countries in which it operates, as well as the deeds and decisions issued by the regulatory and competition authorities and to promote the dissemination of fair competition values – as a decisive and strategic element for a sustainable business.
FS Energy SpA adopts a process of receiving, analysing and handling both Whistleblowing Reports (exclusively from identified individuals) in accordance with Italian Legislative Decree no. 24/2023 and the so-called Ordinary Reports (from both identified and anonymous individuals concerning violations of the Code of Ethics or violations relevant for the purposes of Legislative Decree no. 24/2023 submitted anonymously) relating to FS Energy SpA and sent by FS Group Personnel or by Third Parties.
The Whistleblowing Reports management process complies with the legislation introduced by Legislative Decree no. 24 of 10 March 2023 implementing Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons who report breaches of European Union law and on provisions for the protection of persons who report breaches of national laws (so-called “Whistleblowing Decree”).
